Services
1.1 Scope: Monday Software provides a range of IT solutions and digital marketing services, including but not limited to web development, mobile application development, software development, digital marketing, and related services. The specific details and scope of services will be outlined in a separate agreement or project proposal.
1.2 Client Responsibilities: As a client, you agree to provide accurate and complete information required for the provision of services. You are responsible for providing necessary materials, content, and approvals within agreed timelines to ensure the smooth progress of the project. Any delays or issues arising from the client's failure to fulfill their responsibilities may impact project timelines and delivery.
Intellectual Property
2.1 Ownership: Unless otherwise specified in a separate agreement, Monday Software retains all rights, title, and interest, including intellectual property rights, in the deliverables, software, code, designs, and any other materials developed or provided as part of the services. The client is granted a non-exclusive, non-transferable license to use the deliverables solely for their intended purpose.
2.2 Client Materials: The client represents and warrants that any materials provided to Monday Software for the provision of services do not infringe any third-party rights. The client grants Monday Software a non-exclusive license to use, copy, modify, and display client materials solely for the purpose of providing the agreed services.
Confidentiality
3.1 Confidential Information: Both parties acknowledge that during the course of providing services, confidential information may be disclosed. Confidential information includes, but is not limited to, proprietary business information, trade secrets, technical know-how, client data, and project-related information.
3.2 Confidentiality Obligations: Both parties agree to maintain the confidentiality of any confidential information received from the other party and not to disclose it to any third party without prior written consent, except as required by law. This obligation of confidentiality extends beyond the termination of the services or any related agreements.
Payment and Billing
4.1 Fees: The fees and payment terms for the services will be outlined in a separate agreement or project proposal. Unless otherwise specified, all fees are payable in the currency stated and are exclusive of any applicable taxes or charges.
4.2 Invoicing and Payment: Monday Software will provide invoices for the agreed services as per the agreed payment schedule. Payment terms and methods will be specified in the invoice. Late payments may result in the suspension or termination of services at Monday Software's discretion.
Limitation of Liability
To the maximum extent permitted by law, Monday Software and its employees, agents, or representatives shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of our services, including but not limited to loss of profits, data, or business opportunities.
Modifications and Termination
Monday Software reserves the right to modify, suspend, or terminate any aspect of the services, including these Terms, at any time and without prior notice. In the event of termination, any remaining obligations and provisions that, by their nature, should survive termination will continue to apply.
